INTERMEDIATION AGREEMENT – EVENT TICKETING

Between the undersigned:

myEventic, a private limited liability company (SRL), with its registered office at Avenue des Gloires Nationales 85/9 Ganshoren,
registered with the Crossroads Bank for Enterprises under number 728512461,
VAT number BE 0728 512 461,
hereinafter referred to as the “Intermediary”,

AND

, with its registered office at ,
registered with the VAT number ,
hereinafter referred to as the “Organizer”,

It has been agreed as follows:

ARTICLE 1 – Purpose

The purpose of this framework agreement is to define the conditions under which the Intermediary acts, in the capacity of agent, on behalf of the Organizer, in connection with the sale of tickets for shows and events organized by the latter.

ARTICLE 2 – Mandate

The Organizer grants the Intermediary an intermediation mandate within the meaning of Articles 1984 et seq. of the Belgian Civil Code. The Organizer remains the sole seller of the tickets.

ARTICLE 3 – Collection of Funds

Funds collected via the Stripe platform are received on behalf of the Organizer and do not constitute turnover or revenue of the Intermediary.

ARTICLE 4 – Commission

The Intermediary is entitled to a commission of 1.5€ for the tickets that the price is smaller or equal with 15€ and id the price of the ticket is more than 15€ the commision is 10% of ticket price. This commission is subject to Belgian VAT at the rate of 21%.

ARTICLE 5 – Settlement

Net revenues are periodically transferred to the Organizer on the basis of a ticketing settlement statement.

• A. If the full amount generated by an event is paid out in a single transaction, no cash-out commission shall apply.
• B. The first payout request made by the Organizer is free of charge. Any subsequent payout requests shall be subject to a commission of 3% applied to each requested amount.

ARTICLE 6 – VAT

VAT on ticket sales is due exclusively by the Organizer.

The Parties expressly agree that the ticketing statement set out in Annex 1 constitutes solely a supporting document for the settlement of revenues collected on behalf of the Organizer and shall under no circumstances be considered an invoice within the meaning of VAT legislation.

Financial Flows and Direct Payment

The Parties agree that revenues generated from ticket sales may be paid directly by the Stripe payment platform into the Organizer’s bank account, without passing through the bank accounts of the Intermediary.

In this context, the Intermediary acts exclusively as a technical agent, without any right of disposal over the collected funds, which are received directly by the Organizer in its capacity as the seller of the tickets.

The Intermediary’s commission is automatically deducted by the payment platform or, failing that, invoiced separately to the Organizer in accordance with the provisions of this agreement.

The Parties acknowledge that this payment method does not in any way affect the legal qualification of this agreement nor their respective tax obligations.

ARTICLE 7 – Term

This agreement is concluded for an indefinite term.

ARTICLE 8 – Governing Law

This agreement is governed by Belgian law.

ARTICLE 9 – Supplementary Annex – Payment Terms

Net amounts are paid directly by the payment platform to the Organizer’s bank account.
